“Sometimes, Things Ain’t What They Seem To Be”: The Prequel
A couple of months ago I published a story, “Sometimes, Things Ain’t What They Seem To Be” (http://cbetotal.wpengine.com/2015/02/somethings-aint-always-seem/). Our policy at CBE Press is to accept any letter’s to the editor where the submitters identify themselves and aren’t offensive in their approach.
To that end, we wanted to provide the following letter submitted recently by new Americanex CEO, Mike Herron regarding that article. We also asked ADP if they wanted to comment and they did following Mike’s letter.
From: Mike Herron [mailto:[email protected]] Sent: Wednesday, April 08, 2015 4:36 PM To: [email protected] Cc: Steve Janjic Subject: Amercanex follow up
Dear Robert,
I would like to again express my sincere thanks for speaking with me this past Monday regarding our terminated fee sharing agreement with ADP.
I appreciate the courtesy you’ve extended towards our company for giving us the opportunity to respond to your inquiries as reflected in your February 3, 2015 article appearing on your website.
Per our discussion, please find my signed letter attached attesting to the facts and timeline as we best understand them to be, and as such, I would ask that you consider posting this response letter on your website with no further comments from CBE Press as discussed and desired by Amercanex, following your advice to let matters best lay where they’re at so that we can all move forward together.
I hope this letter finds you and your partner well as I look forward to building and enjoying a positive, more meaningful relationship with you and CBE Press for many more years to come!
Regards,
Michael Herron

LETTER TO:
Mr. Robert Meagher President & Editor CBE Press LLC 7600 Tremayne Place, Bldg 14, Suite 201 McLean, VA 22102
April 8, 2015
Dear Mr. Meagher,
Thank you for giving Amercanex the opportunity to explain our position concerning our former fee sharing agreement with ADP as you reported in your February 3, 2015 edition of your publication. I believe your readers will better understand our position in the matter as explained per the following timeline of events:
It is unfortunate that ADP terminated our strategic partnership after our announcement to the public. We further recognize that we need to be more responsive and transparent to the press to avoid such confusion in the future, and as such, Amercanex is committed to improving said communication going forward.
Again Mr. Meagher, thank you for giving Amercanex the opportunity to explain ourselves and we look forward to working with you and CBE Press in a more positive light going forward.
Sincerely, Michael Herron Chief Executive Officer Amercanex Inc.
ADP Response

Hi Robert,
ADP is not participating in a partnership with Amercanex to offer our services to the cannabis industry. The opportunity was presented to the company by a sales associate, but there is no interest in such a referral agreement. While an agreement was entered into in December 2014, ADP terminated it in January 2015.

Dick,
We received the attached letter from Americanex this week that we will publish next Tuesday regarding the ADP/Americanex agreement that included several documents and e-mail exchanges between them and ADP that they shared with CBE that indicate that ADP’s regional field office in Denver did represent that ADP had an agreement with ADP. They shared e-mails that ADP’s local rep, Jame’s Marsh not only agreed to add Americanex to ADP’s Accountant Revenue Share On-line Referral Program but also forwarded collateral material that they could use, as well as a draft announcement of the agreement that Americanex could use.
They also supplied us with a letter received by Certified Mail, on ADP letterhead, dated January 27, 2015, signed by Lee Ann McNeill, ADP LLC that terminates the agreement effective upon 30 days. If in fact the letter is correct, ADP did engage Americanex. Would ADP care to comment on this?
Let me know Dick ASAP.
Thank you,
Rob
